    Customer Agreement

    Last updated: 2 October 2026

    This Customer Agreement (the "Agreement") sets out the terms on which Wular Data Lake Private Limited, a company incorporated under the Companies Act, 2013 with its registered office at B8, Sector 2, Noida, Uttar Pradesh 201301, India ("WularData", "we", "us" or "our"), provides the Services to you. "You", "your" or "Customer" means the individual or the entity that accepts this Agreement.

    This Agreement takes effect on the earliest of the date you (a) click "I Accept" or tick a box presented with these terms, (b) sign or accept an Order, or (c) first use any Service (the "Effective Date"). By accepting it, you confirm that you are at least 18 years old and legally able to enter into a contract. If you accept on behalf of a company or other organisation, you confirm that you have authority to bind it, and "you" refers to that organisation.

    2. Our responsibilities

    2.1 Provision of Services. We will provide the Services described in your Order in accordance with this Agreement and the Policies. Uptime and support commitments are set out in the Service Level Agreement.

    2.2 Security. We will apply reasonable and appropriate technical and organisational measures to protect our facilities, network and infrastructure against unauthorised access, loss or disclosure. Security of the operating system, applications and Customer Content you control remains your responsibility under Section 3.4.

    2.3 Data location and access. Customer Content is stored at the data centre location you select in your Order. We will not access or use Customer Content except (a) to provide, maintain or support the Services, (b) at your request, or (c) where required by law or a valid order of a court or government authority. Where we receive such an order, we will notify you unless the law prohibits us from doing so.

    2.4 Third-Party Content. You may choose to use Third-Party Content with the Services. Its use may be subject to separate licence terms and charges, which you agree to comply with.

    2.5 Changes to the Services. We may update or improve the Services from time to time. If we decide to discontinue a Service or a material feature of it, we will give you at least 60 days' notice, unless a shorter period is required for legal, security or regulatory reasons or because a supplier has withdrawn a product we depend on.

    3. Your responsibilities

    3.1 Account and KYC. To use the Services you must maintain an Account with a valid email address, a working phone number and a valid payment method. You must provide accurate and complete identity, address and business information, and keep it up to date. Under the Directions issued by the Indian Computer Emergency Response Team (CERT-In) under Section 70B of the Information Technology Act, 2000, we are required to verify and retain subscriber information, including validated names, addresses, contact details, IP addresses allotted and the period of use, for at least five years after your Account is closed. We may refuse, suspend or close an Account where verification cannot be completed.

    3.2 Activity on your Account. You are responsible for all activity that occurs under your Account, whether or not you authorised it, and for ensuring that you and your End Users comply with this Agreement and the Policies.

    3.3 Customer Content. You are solely responsible for Customer Content, including its legality, accuracy and compliance with the Acceptable Use Policy, and for obtaining all licences, rights and consents needed to use it with the Services.

    3.4 Security and backup. You are responsible for properly configuring and securing the Services you control (including operating systems, applications, passwords, firewalls and patching) and for maintaining your own backups of Customer Content. Unless you have purchased a backup or disaster recovery service from us, we do not back up Customer Content. We recommend encryption and regular off-site backups.

    3.5 Credentials. Login credentials, API keys and access tokens issued to you are for your own use and must not be sold, transferred or sublicensed. You may share them with your employees, agents and contractors who act on your behalf, and you remain responsible for their use. You must notify us promptly if you suspect any credential has been compromised.

    3.6 End Users. You are responsible for your End Users' use of the Services. If you become aware of any End User breaching this Agreement or the Policies, you must promptly suspend that End User's access.

    4. Fees, payment and taxes

    4.1 Fees. You agree to pay the Fees for the Services in your Order. Unless the Order states otherwise, recurring Fees are billed monthly in advance, and usage-based charges (such as additional bandwidth, IP addresses or remote-hands time) are billed monthly in arrears. Other billing cycles (quarterly, half-yearly or annual) may be agreed in an Order.

    4.2 Payment. Invoices are payable by the due date shown on the invoice. If an amount remains unpaid after the due date, we may charge interest at 1.5% per month (18% per annum) on the overdue amount from the due date until payment, and we may suspend and terminate the Services in accordance with Sections 5 and 6.

    4.3 Price changes. We may change our Fees by giving you at least 30 days' notice. The new Fees apply from the start of your next billing cycle after the notice period. Fees agreed for a fixed term in an Order will not increase during that term.

    4.4 Taxes. All Fees are exclusive of Goods and Services Tax (GST) and other applicable taxes, which will be charged as required by law. You must provide your GSTIN at the time of ordering if you wish to claim input tax credit. If you are required by law to deduct tax at source (TDS), you must provide the TDS certificate within the statutory time, failing which the deducted amount will remain payable.

    4.5 Disputed invoices. If you dispute an invoice in good faith, you must notify us in writing within 15 days of the invoice date, giving reasons, and pay the undisputed portion on time. We will work with you in good faith to resolve the dispute.

    5. Suspension

    5.1 When we may suspend. We may suspend all or part of your access to the Services if we reasonably determine that:

    • your use of the Services, or that of your End Users, poses a security risk to the Services, to us or to any third party;
    • your use could harm our systems or network, or the systems or data of other customers;
    • you or your End Users are in breach of this Agreement or the Acceptable Use Policy;
    • any amount owed to us remains unpaid more than 3 days after its due date; or
    • suspension is required by law or by a direction of a court, CERT-In or another government authority.

    5.2 Notice. Where reasonably possible we will give you notice before suspending the Services. Where we suspend for non-payment, the suspension notice will state the amount outstanding and the date on which the Services will be terminated under Section 6.4 if payment is not received. Where there is an immediate security risk, legal requirement or serious breach, we may suspend first and notify you as soon as practicable afterwards. We will limit any suspension to the extent reasonably necessary and restore the Services once the cause has been resolved.

    5.3 Effect of suspension. During a suspension you will not be able to access the suspended Services or the Customer Content stored on them. You remain responsible for all Fees during a suspension, and you are not entitled to service credits under the Service Level Agreement for any period of suspension.

    6. Term and termination

    6.1 Term. This Agreement starts on the Effective Date and continues until terminated in accordance with this Section 6. Each Order continues for the term stated in it and, unless stated otherwise, renews automatically for successive periods equal to the billing cycle until cancelled.

    6.2 Termination for convenience. You may cancel any Service, or terminate this Agreement, by giving notice through the Customer Portal or by support ticket before the start of the next billing cycle, subject to any minimum term in your Order and the Refund & Cancellation Policy. We may terminate this Agreement or any Service for convenience by giving you at least 30 days' notice.

    6.3 Termination for cause. Either party may terminate this Agreement or an affected Order by notice if the other party materially breaches it and fails to remedy the breach within 30 days of receiving notice describing it. We may also terminate immediately by notice if:

    • we are entitled to suspend under Section 5 and the cause cannot be remedied or remains unresolved 30 days after suspension;
    • a supplier or partner providing software, hardware or connectivity essential to the Service ends or materially changes its arrangement with us; or
    • termination is required to comply with law or a direction from a court or government authority.

    6.4 Termination for non-payment. If any amount owed to us remains unpaid 15 days after its due date, we may terminate this Agreement, or the Services to which the unpaid amount relates, with immediate effect by written notice, without any further cure period. Termination under this Section 6.4 is without prejudice to our right to recover all amounts due, together with interest under Section 4.2 and reasonable costs of recovery.

    6.5 Effect of termination. On termination: (a) your right to use the Services ends; (b) you must pay all Fees incurred up to the termination date, and any Fees for the remainder of a minimum term where you terminate for convenience; (c) you must return or destroy any WularData Materials in your possession at our request; and (d) Sections 3.1, 3.4, 4, 6.5, 6.6, 7, 8, 9, 10, 11, 13 and 14 continue to apply.

    6.6 Deletion of Customer Content. You are solely responsible for retrieving, migrating or backing up Customer Content before the date on which the Agreement or the relevant Service terminates, for whatever reason. With effect from the termination date, Customer Content stored on the terminated Services will be permanently and irreversibly deleted in accordance with our data-sanitisation procedures, and you will have no right to access, retrieve or request the return of it. We are not obliged to retain, restore or provide copies of any Customer Content after termination and will have no liability to you or any third party for its deletion. This Section 6.6 does not apply to records we are required by law to retain, including subscriber information under the CERT-In Directions referred to in Section 3.1.

    7. Intellectual property

    7.1 Customer Content. As between us, you own all rights in Customer Content. You grant us a non-exclusive, royalty-free licence to host, copy, transmit and process Customer Content only as necessary to provide the Services to you and your End Users.

    7.2 WularData Materials. We and our licensors own all rights in the Services and WularData Materials. Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence during the term to use the WularData Materials solely in connection with your permitted use of the Services. No other rights are granted.

    7.3 Your warranties. You confirm that you or your licensors own or have all rights necessary to use Customer Content with the Services and to grant the licence in Section 7.1, and that Customer Content and its use comply with the Acceptable Use Policy and applicable law.

    7.4 Restrictions. You must not, and must not allow anyone else to: (a) reverse engineer, decompile or disassemble the Services or WularData Materials except as permitted by law; (b) resell or sublicense the Services unless an Order expressly permits it; (c) access the Services to build a competing service or to avoid Fees or usage limits; or (d) use our name, logo or trademarks, or suggest that we endorse you, without our prior written consent.

    7.5 Suggestions. If you give us Suggestions, we may use them freely without any obligation to you.

    8. Confidentiality

    8.1 "Confidential Information" means any non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including pricing, network design, security information and Customer Content. It does not include information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed by it, or is lawfully received from a third party without restriction.

    8.2 Each party will use the other's Confidential Information only to perform or receive the Services, protect it with at least reasonable care, and disclose it only to its employees, advisers and contractors who need to know it and are bound by similar obligations. A party may disclose Confidential Information where required by law or by a court or government authority, after giving the other party prompt notice where lawful. These obligations continue for 3 years after this Agreement ends, and indefinitely for Customer Content, security information and trade secrets.

    8.3 Publicity. Neither party will issue a press release or public statement about this Agreement without the other's prior written consent. We may identify you as a customer, including by name and logo, only with your prior consent.

    9. Indemnity

    9.1 By you. You will defend, indemnify and hold harmless WularData, its directors, employees and licensors from and against any third-party claims, and related losses, damages, penalties, fines and reasonable legal fees, arising out of: (a) Customer Content; (b) your or your End Users' use of the Services; (c) your breach of this Agreement, the Acceptable Use Policy or applicable law; or (d) any dispute between you and your End Users.

    9.2 By us. We will defend you against any third-party claim alleging that the Services, as provided by us, infringe that third party's intellectual property rights in India, and will pay any damages finally awarded or agreed in settlement. We have no obligation for claims arising from Customer Content, Third-Party Content, your modification of the Services, use of the Services in combination with anything not supplied by us, or use after we have notified you to stop. If the Services are, or in our opinion are likely to be, subject to such a claim, we may obtain the right for you to continue using them, modify or replace them so they are non-infringing, or terminate the affected Service and refund any prepaid Fees for the unused period. This Section 9.2 states our entire liability for intellectual property infringement claims.

    9.3 Process. The party seeking indemnity must notify the other promptly, allow it to control the defence and settlement, and provide reasonable cooperation. A party may not settle a claim in a way that imposes any obligation (other than payment) on the other party without that party's written consent.

    10. Disclaimers

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT OR THE SERVICE LEVEL AGREEMENT, THE SERVICES, WULARDATA MATERIALS AND THIRD-PARTY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE MAKE NO OTHER WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL NOT BE LOST OR ALTERED. NOTHING IN THIS SECTION EXCLUDES ANY RIGHT YOU HAVE UNDER LAW THAT CANNOT BE EXCLUDED.

    11. Limitation of liability

    11.1 Excluded losses. EXCEPT FOR LIABILITY UNDER SECTION 9 (INDEMNITY), BREACH OF SECTION 8 (CONFIDENTIALITY), OR YOUR OBLIGATION TO PAY FEES, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CUSTOMERS, GOODWILL OR DATA, EVEN IF ADVISED OF THEIR POSSIBILITY.

    11.2 Cap. EXCEPT FOR LIABILITY UNDER SECTION 9 (INDEMNITY) AND YOUR OBLIGATION TO PAY FEES, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY YOU TO US FOR THE SERVICE GIVING RISE TO THE LIABILITY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY.

    11.3 Service credits. Where the Service Level Agreement applies, service credits are your sole and exclusive remedy for any failure to meet the service levels described in it.

    11.4 Nothing in this Agreement limits liability for fraud, or for death or personal injury caused by negligence, or any other liability that cannot be limited under applicable law.

    12. Changes to this Agreement

    We may update this Agreement or any Policy by publishing a revised version at wulardata.com/legal. For changes that materially reduce your rights, we will give you at least 30 days' notice by email or through the Customer Portal before the change takes effect. Other changes take effect when published. If you do not agree to a change, you may terminate the affected Services before the change takes effect; continuing to use the Services after that date means you accept the updated terms. The "Last updated" date above shows when this Agreement was last revised.

    13. Governing law and dispute resolution

    13.1 Governing law. This Agreement is governed by the laws of India.

    13.2 Amicable resolution. The parties will first try to resolve any dispute arising out of or in connection with this Agreement through good-faith discussion between senior representatives for 30 days after one party notifies the other of the dispute.

    13.3 Arbitration. Any dispute not resolved under Section 13.2 will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement of the parties or, failing agreement, in accordance with that Act. The seat and venue of arbitration will be Noida, Uttar Pradesh. The arbitration will be conducted in English. The award will be final and binding on the parties.

    13.4 Courts. Subject to Section 13.3, the courts at Gautam Buddh Nagar, Uttar Pradesh, will have exclusive jurisdiction over matters arising out of this Agreement, including applications for interim relief. Nothing in this Section prevents either party from seeking urgent injunctive relief, or prevents us from bringing proceedings to recover unpaid Fees, in any competent court.

    14. General

    14.1 Assignment. You may not assign or transfer this Agreement or any rights or obligations under it without our prior written consent. We may assign this Agreement without your consent to an affiliate, or in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of our relevant business or assets, by giving you notice.

    14.2 Entire agreement. This Agreement, together with the Policies and any Orders, is the entire agreement between us on its subject matter and supersedes all prior discussions, proposals and understandings. Terms contained in your purchase orders, vendor registration forms, tender documents or other documents do not apply unless we expressly agree to them in a signed writing.

    14.3 Force majeure. Neither party is liable for any delay or failure to perform its obligations (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, terrorism, riots, government action, labour disputes, failure of power grids, upstream internet or telecommunications providers, or cyber-attacks that could not have been prevented by reasonable security measures.

    14.4 Independent contractors. The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency or employment relationship. Each party may develop or offer products and services that are similar to or compete with those of the other.

    14.5 Notices. We may give you notices by email to the address on your Account, through the Customer Portal, or by posting on wulardata.com. You must give us legal notices by email to reachus@wulardata.com and by post or courier to our registered office. Notices are effective when sent by email (unless a bounce-back is received) or when delivered by post or courier.

    14.6 Language. This Agreement is made in English. If we provide a translation, the English version prevails in case of conflict.

    14.7 Severability and waiver. If any provision of this Agreement is held invalid or unenforceable, the rest of the Agreement remains in effect. A failure or delay in enforcing any provision is not a waiver of it.

    14.8 Electronic acceptance. This Agreement is an electronic record under the Information Technology Act, 2000 and does not require a physical or digital signature to be binding.
